MARBELLA, SPAIN / TERMS & CONDITIONS

Terms and Conditions

These Terms and Conditions govern use of rimadain.com and orders accepted directly by Rima Dain. Please read them together with our Shipping and Returns policies and the specification for your order before making a purchase. Nothing in these terms excludes or restricts rights that cannot lawfully be excluded.

01

The seller and contact details

The seller is Rima Dain. Edif. Golden B, 1ª Planta, Avda. Ricardo Soriano, 72, 29601 Marbella, Andalucía, Spain

For orders, withdrawal notices and complaints, contact hello@rimadain.com or +34 951 74 26 43. Our correspondence address is Edif. Golden B, 1ª Planta, Avda. Ricardo Soriano, 72, 29601 Marbella, Andalucía, Spain. Physical returns use the return address disclosed for your order; collections require a separately agreed location and appointment.

02

Scope and contract documents

These terms apply to direct purchases by private customers and professional purchasers. Consumer protections apply whenever the purchaser qualifies under applicable law. References to a commercial or trade purchase do not remove protections that apply by law.

A specific term individually agreed in writing for your order takes priority over a general term to the extent of an express inconsistency, subject to mandatory law. The Shipping and Returns policies form part of the contract. Information and commitments that legally form part of the sale remain binding.

An independent retailer contracts with its own customer. A purchase through a retailer is subject to that seller’s agreed sales conditions and any applicable Rima Dain manufacturer warranty.

03

Enquiries and order acceptance

An enquiry, sample request, indicative quotation or automated acknowledgement does not itself confirm an order. A quotation is valid for the period stated and remains subject to written acceptance of the order.

Before ordering, you will receive a summary of the products, quantity, specifications, total price, payment requirements, delivery arrangements and any bespoke restriction. Check it carefully and notify us of any correction. Your submission of an order or acceptance of a quotation is an offer to purchase on those terms.

The sales contract is formed when we expressly confirm acceptance of your order in writing. Receipt of funds alone does not constitute acceptance. We will confirm acceptance or explain a rejection promptly. If we decline an order, we will refund amounts received for it without undue delay.

Before acceptance, we may reject an order for genuine unavailability, inability to serve the destination, failure of payment or verification, an obvious material error, or a legal restriction. If a correction changes the price or specification, we will seek your agreement; we will not substitute a product or increase an accepted price unilaterally.

04

Customer information and authority

You must have the legal capacity to make the purchase and provide accurate billing, delivery and contact information. If you order for another person or a business, you confirm that you are authorised to bind that purchaser and approve the order details.

Tell us before ordering if the rug is intended for a hotel, restaurant, public space, marine setting or another use requiring particular performance or certification. Suitability for a specific regulated application is included only where expressly agreed and supported by the relevant product documentation. This does not reduce ordinary product-safety or conformity obligations.

05

Specifications and customer approvals

Your approved order identifies the design, dimensions, colour reference, material, quantity and any agreed border, fringe, shape or custom layout. Where a drawing or sample requires approval, production will not be released until the approval is received in writing.

You are responsible for measurements, drawings and instructions supplied by you or your appointed designer. We remain responsible for our own measurements and work, and for meeting the specification we accept. General sizing or styling assistance is not a site survey or installation service unless expressly included.

Exact matching to another batch, an existing rug or a third-party sample must be expressly agreed before acceptance. We will not materially change an approved design, material or construction without your agreement.

06

Images and product variation

Photography, display settings and lighting can affect the appearance of colour and texture. Product images may show styling accessories that are not included unless listed in the order. Physical samples illustrate the specified material or colour but may not show the complete pattern or every feature of a finished rug.

Any permitted dimensional or production tolerance must be disclosed before purchase and appropriate to that product. Ordinary material variation does not excuse an incorrect product, an undisclosed material difference, a manufacturing defect or a failure to meet an agreed performance requirement.

07

Prices and payment

The accepted order states the currency, product price, applicable taxes, delivery charges and any other compulsory charges. Consumer prices include applicable VAT where required. Any tax exclusion or additional import obligation will be clearly identified before acceptance. Later changes to website prices do not alter a concluded contract.

Unless a different payment schedule is expressly agreed in writing, direct orders are payable in full in advance by bank transfer to the account identified in our payment instructions. Production and dispatch are conditional on receipt of the payment then due in cleared funds. An advance payment is applied to the purchase price and remains subject to the cancellation and refund rules in our Returns policy.

If a scheduled payment is overdue, we may suspend the affected work after notice and give a reasonable opportunity to pay. Any resulting change to the programme will be explained. We may terminate for an unresolved material payment breach where lawful. These provisions do not prevent a consumer from withholding payment or exercising another remedy permitted by law.

08

Bespoke orders and requested changes

The Returns policy explains the distinction between standard products and genuinely bespoke or personalised goods. Where the personalised-goods exception applies, there is no statutory change-of-mind withdrawal right for the bespoke product once the order is accepted.

A request to change a design, size, colour, quantity or delivery instruction is not effective until we accept it in writing. We will state any revised price, production requirement and delivery period for your approval. We may decline changes that cannot reasonably be accommodated. No change or voluntary cancellation affects remedies available because of our own breach or a product’s non-conformity.

09

Delivery and ownership

Delivery scope, access responsibilities, inspection, international charges, delays and risk are governed by the Shipping policy and your accepted order. Please make the delivery information available to anyone receiving the goods on your behalf.

To the extent permitted by law, ownership remains with the seller until the agreed purchase price has been paid in full. This does not accelerate the transfer of transit risk to a consumer.

10

Product care and warranty

Use and maintain the rug in accordance with the product label and the care information supplied. General guidance is available on our Care & Warranty page. Product-specific instructions take priority over general care advice.

Our additional 24 month limited manufacturer warranty operates on its published terms. The applicable warranty statement is supplied in a format you can retain no later than delivery. It does not replace or limit statutory conformity rights, including the three-year period applicable to new consumer goods under Spanish law. The Returns policy explains how to report a problem and the remedies available.

No care exclusion removes responsibility for a defect unrelated to the excluded conduct or for failure under normal use to meet an advertised or agreed outdoor-performance specification.

11

Professional and project purchases

For a purchaser acting in its trade or business and not entitled to the relevant consumer protection, the following additional terms apply unless expressly varied in the accepted project agreement.

The purchaser must confirm its approved specifications, quantities, delivery sequence, site access and any required certificates before acceptance. Customer purchase-order conditions, third-party specifications, retention arrangements, delay penalties or requirements to comply with another contract bind us only if expressly accepted in writing. A purchase-order reference or delivery to a project does not itself incorporate those conditions.

A written payment schedule remains payable independently of the purchaser receiving funds, certification or approval from its client, unless we expressly agree otherwise. Partial delivery or invoicing applies only where agreed. Any different transit-risk allocation must identify the applicable delivery term and place.

The purchaser must inspect and notify apparent discrepancies promptly, preserve relevant evidence and give us a reasonable opportunity to inspect and remedy a substantiated claim. This does not eliminate claims for latent defects or other mandatory rights. Voluntary cancellation, quantity reduction, return or exchange requires our written agreement.

12

Limits of liability

For consumer purchases, we remain responsible to the extent required by applicable law. Nothing excludes mandatory conformity remedies, legally recoverable damages or obligations arising from our own failure to perform the contract.

For commercial purchasers to whom the relevant consumer protections do not apply, and to the extent permitted by law, our aggregate contractual liability arising from an affected order is limited to the total contract price of the affected products. We do not accept liability for lost profit, revenue, business opportunity, hotel or project opening delays, third-party contractual penalties, or indirect or consequential commercial loss unless expressly agreed in writing.

These commercial limitations do not limit repayment of sums legally due, the agreed obligation to provide a valid product remedy, or liability for fraud, deliberate misconduct, gross negligence, death or personal injury, mandatory product liability, or anything that cannot lawfully be limited. Each party must take reasonable steps to avoid or reduce recoverable loss.

13

Events outside reasonable control

If an event outside our reasonable control materially prevents performance, we will notify you, explain the likely effect and take reasonable steps to reduce disruption. A suspension applies only to the obligations affected and only for as long as justified by the event.

We will discuss a revised programme or other lawful resolution. Any revised arrangement remains subject to applicable cancellation, refund and other mandatory rights.

14

Designs and intellectual property

Rights in Rima Dain’s name, designs, drawings, photographs, text and other protected materials belong to their respective owners. Purchasing a rug does not transfer intellectual property or authorise manufacture, reproduction, commercial copying or use of our branding beyond rights conferred by law or an express written licence.

If you provide artwork or a design for custom work, you confirm that you have the rights and permissions needed for the agreed use. You authorise us and the suppliers involved in fulfilling the order to use that material only as reasonably necessary to assess and perform the commission. Any ownership or exclusivity in a commissioned design must be agreed separately in writing.

15

Website use and privacy

You must not misuse the website, interfere with its operation, attempt unauthorised access, submit harmful material or use content in a way that infringes another person’s rights. Website maintenance or an access restriction does not cancel an accepted order or remove a customer’s means of contacting us.

Personal information is handled as explained in our Privacy Policy. An order or enquiry does not, by itself, constitute consent to unrelated marketing. The Privacy Policy explains the relevant processing, recipients and rights separately from these sales terms.

16

Complaints and dispute resolution

Send complaints to hello@rimadain.com or the postal correspondence address in section 1, including your order reference, the issue and the outcome sought. We will acknowledge the complaint and provide a reasoned response. Formal consumer complaints under the applicable Andalusian procedure will receive a written response within 10 working days of receipt.

Official Andalusian complaint forms are available on request. If a complaint remains unresolved, you may refer it to the competent municipal consumer information office or consumer authority. We will provide information about a competent alternative dispute-resolution body and state whether we are required or willing to participate, as applicable. Your right to approach an authority or competent court remains available, subject to applicable procedural requirements

17

Governing law and courts

These terms and direct sales contracts are governed by Spanish law. If you are a consumer, this choice does not deprive you of mandatory protections available under the law that would otherwise apply, including relevant protections in your country of habitual residence.

Consumers may bring proceedings before any court available to them under applicable mandatory rules. For other purchasers, disputes are subject to the courts having jurisdiction under the applicable procedural rules, unless a valid separate jurisdiction agreement has been expressly concluded.

18

Contract records and later updates

The version provided when you place your order applies to that purchase, together with any changes expressly agreed before acceptance. Later website updates apply to future orders and do not retrospectively remove contractual rights.

We provide the accepted order and applicable terms in an email or other format you can retain. We retain a record of the contract; you may request a copy by contacting us with the order reference. Required Spanish-language information will be provided alongside any agreed English-language contracting material.

If a provision is invalid or unenforceable, it is ineffective to that extent and the remaining provisions continue where legally possible. A delay in exercising a right does not, by itself, waive that right.
